1. Acceptance of Terms

Welcome to CodeSTEMUp. By accessing and using our website and services, you accept and agree to be bound by the terms and provisions of this agreement. If you do not agree to these terms, please do not use our services.

2. Services Description

CodeSTEMUp provides IT solutions and business services including but not limited to:

• Web Design and Development
• Mobile Application Development
• E-commerce Solutions
• Digital Marketing Services
• UI/UX Design
• IT Staff Outsourcing

We reserve the right to modify, suspend, or discontinue any part of our services at any time without prior notice.

3. Use of Our Services

You agree to use our services only for lawful purposes and in accordance with these Terms. You agree NOT to:

• Use our services in any way that violates any applicable law or regulation
• Engage in any conduct that restricts or inhibits anyone's use of our services
• Transmit any viruses, malware, or harmful code through our services
• Attempt to gain unauthorized access to our systems or networks
• Use our services for fraudulent or malicious purposes

4. Project Agreements and Contracts

For specific projects, we will provide a separate Service Agreement or Statement of Work (SOW) that outlines:

• Project scope and deliverables
• Timeline and milestones
• Payment terms and pricing
• Intellectual property rights
• Confidentiality provisions

In case of conflict between these Terms and a specific Service Agreement, the Service Agreement will take precedence.

5. Payment Terms

Payment terms will be specified in your Service Agreement. Generally:

• Invoices are payable within the agreed timeframe
• Late payments may incur additional charges
• Work may be paused for overdue payments
• All prices are in USD or PKR as specified
• Refund policies are project-specific

6. Intellectual Property Rights

6.1 Ownership

Upon full payment, you will own the final deliverables as specified in your Service Agreement. CodeSTEMUp retains ownership of:

• Pre-existing intellectual property and tools
• Generic code libraries and frameworks
• Development methodologies and processes

6.2 Content Ownership

You retain ownership of all content you provide to us. By providing content, you grant CodeSTEMUp a license to use, modify, and incorporate it into the project deliverables.

6.3 Portfolio Rights

Unless otherwise agreed in writing, CodeSTEMUp reserves the right to showcase completed projects in our portfolio, marketing materials, and case studies.

7. Confidentiality

We respect the confidentiality of your business information and will not disclose it to third parties except as necessary to provide our services or as required by law. Non-Disclosure Agreements (NDAs) are available upon request.

8. Warranties and Disclaimers

We warrant that our services will be performed in a professional and workmanlike manner. However:

• Services are provided "AS IS" without warranties of any kind
• We do not guarantee specific business results or outcomes
• We are not responsible for third-party services or platforms
• Performance may depend on factors outside our control

9. Limitation of Liability

To the fullest extent permitted by law, CodeSTEMUp shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of our services.

10. Indemnification

You agree to indemnify and hold CodeSTEMUp harmless from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of our services or violation of these Terms.

11. Termination

Either party may terminate a project agreement with written notice as specified in the Service Agreement. Upon termination:

• You must pay for all work completed up to the termination date
• CodeSTEMUp will deliver all completed work
• Confidentiality obligations continue after termination

12. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify users of significant changes by posting a notice on our website. Your continued use of our services after changes constitutes acceptance of the modified Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Pakistan. Any disputes arising from these Terms or our services shall be subject to the exclusive jurisdiction of the courts of Karachi, Pakistan.

15. Entire Agreement
